Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") form a binding agreement between you and ProSoft Solutions LLC ("WePay", "we", "us"), Aleksandre Chkheidze Alley N 18, Tbilisi 0100, Georgia, operator of the WePay platform, games, and related services (the "Service"). By creating an account, accessing, or using the Service, you confirm that you have read, understood, and accepted these Terms. If you do not agree, do not use the Service.

2. Eligibility

• You must be at least 13 years old to use the Service. If you are 13–17, you may play the games but you cannot enter cash giveaways or receive prizes.
• To enter giveaways and receive cash prizes you must be 18 or older (19 in Alabama and Nebraska, 21 in Mississippi) and meet the other conditions in the Giveaway Rules.
• You must reside in a jurisdiction where use of the Service is lawful. The cash giveaways are currently open only to eligible US residents — see the Giveaway Rules.
• You may not use the Service if you are a sanctioned person or are otherwise prohibited by law.
• Employees and contractors of WePay (and their immediate family and household members) may not enter giveaways or receive prizes.

3. Your account

• One account per person. Multi-accounting is strictly prohibited.
• You are responsible for keeping your credentials confidential and for all activity under your account.
• You must provide accurate information at signup and during identity verification.
• We may suspend or terminate your account if information is false, if KYC fails, or if these Terms are breached.

4. Entries and the prize giveaways

Entries are the in-platform unit that gives you chances in our cash giveaways. The full mechanics are described in the Giveaway Rules, incorporated into these Terms by reference. Key points:

• Entries have no cash value outside the giveaway process and are non-transferable. You cannot buy entries directly; some optional in-app purchases and subscriptions may award bonus entries, but you are paying for the in-game item, and buying never improves your odds of winning.
• Entries are not a security, virtual currency, or stored-value instrument.
• We may adjust entry amounts, caps, and giveaway structures from time to time. Material changes are announced in advance.

5. Acceptable use and prohibited conduct

You agree not to:

• Operate more than one account, share, or sell access to your account.
• Use bots, scripts, macros, emulators, modified clients, or automation to play or interact with the Service.
• Engage in match-fixing, collusion, or coordinated win/loss arrangements.
• Pay or accept payment for boosting; sell entries or giveaway entries.
• Interfere with, probe, scrape, or reverse-engineer the Service except as permitted by mandatory law.
• Submit false KYC documents, impersonate another person, or evade sanctions.
• Harass, threaten, dox, or otherwise abuse other players or staff.
• Use the Service to launder funds or for any other unlawful purpose.

We may, at our discretion, void entries, withhold payouts, suspend, or close accounts that breach these rules.

6. Payouts

• Prizes are paid only to verified winners via the methods listed in the Giveaway Rules.
• You must complete KYC within the published window after winning, or the prize is forfeited and re-selected.
• Taxes, fees, and similar charges arising from prizes are the responsibility of the winner under local law.
• WePay does not provide tax advice.

7. Fees

Playing the Service and entering giveaways is free, and no purchase is ever necessary to enter or win. Optional in-app purchases and subscriptions are available; any fees (including payout-processing fees charged by third-party payment rails) are disclosed before you incur them.

8. Intellectual property

The Service, including the games, code, content, trademarks, and logos, is owned by WePay or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial use. All other rights are reserved.

You retain ownership of content you submit. By submitting content, you grant us a worldwide, royalty-free licence to use, host, store, reproduce, and display it solely to operate and improve the Service.

9. Third-party services

The Service may integrate with third-party services. Their terms govern your use of those services. We are not responsible for third-party services and disclaim liability for them to the maximum extent permitted by law.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any particular result (including a prize) will be obtained.

11. Limitation of liability

To the maximum extent permitted by law, WePay and its officers, employees, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or in connection with the Service.

Our total aggregate liability for any claim is limited to the greater of USD 100 or the amounts you actually received from us in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify and hold WePay harmless from any claim, demand, or liability (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

13. Suspension and termination

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, including for suspected breach, suspected fraud, or where required by law. You may close your account at any time in the app via Profile → Delete My Account, or by emailing support@wepay.games. Sections that by their nature should survive termination (e.g. IP, disclaimers, liability, indemnity, dispute resolution) survive.

14. Changes to these Terms

We may update these Terms from time to time. We will post the new version with a revised effective date and, for material changes, notify you in the app or by email at least 14 days before the change takes effect. Continued use of the Service after that constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of Georgia (the country), without regard to its conflict-of-laws rules, and the courts of Tbilisi, Georgia have jurisdiction over disputes. Nothing here limits a consumer's rights to bring proceedings in the courts of their place of residence, where such rights are mandatory under local law. Disputes specific to a giveaway are also governed by the Giveaway Rules.

16. Miscellaneous

• Entire agreement. These Terms, the Privacy Policy, the Giveaway Rules, and in-app notices form the entire agreement between you and us regarding the Service.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Severability. If a provision is held unenforceable, the remaining provisions remain in effect.
• Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or successor.
